Welcome to Tempo. These Terms of Service ("Terms") form a binding agreement between you and Tempo Digital Inc. ("Tempo", "we", "us", or "our"), a company incorporated in British Columbia, Canada. They govern your access to and use of Tempo's website-building, marketing, and customer-relationship platform for real estate professionals (the "Service"). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 19 years of age (or the age of majority in your jurisdiction; 18 in most US states) and an actively licensed real estate professional in good standing with a board or association for which Tempo holds a redistribution agreement. One account per individual licensee. You are responsible for safeguarding your account credentials, for all activity under your account, and for promptly notifying us of any unauthorized use.
If you join Tempo through a team or brokerage, the team owner may have limited administrative access to your sub-account. Tempo support staff may, with appropriate authorization, impersonate your account to investigate issues.
Plans are auto-renewing subscriptions billed by Stripe in CAD or USD as displayed at checkout. By subscribing, you authorize Tempo and Stripe to charge your payment method on a recurring basis until you cancel.
A "trial" on Tempo is a regular paid plan in which Stripe delays the first charge by 14 days. You may cancel before that delay ends to avoid being charged. After the trial period, your card will be charged automatically at the listed rate.
You may switch between monthly and annual billing as offered. Partner and reseller discounts may apply to your account based on the signup link or token used. You are responsible for any applicable taxes. Refunds are limited to those required by applicable law.
Tempo offers digital "AI Credits" that power AI-driven features. AI Credits:
Tempo may, at its discretion, reverse credit deductions for failed generations or platform errors. Unused credits do not survive termination of your account except as required by law.
Listings, photos, and related data we display via Repliers and other MLS feeds remain the property of the originating board, MLS, or listing brokerage. Your license to display this content is limited to use within the Service.
You agree not to scrape, redistribute, syndicate, or otherwise use MLS Content outside the Service. You are solely responsible for compliance with your board's display, attribution, and disclaimer rules (including but not limited to RECO, RECBC, CREA DDF rules, NAR/IDX rules, and equivalent state and provincial requirements). You agree to promptly correct or remove any inaccurate listing on request from the data source or affected party.
Pre-construction project data is sourced under license from Buildify and is subject to the same restrictions as MLS Content in Section 5. Pricing, availability, completion timelines, and incentives are provided by builders and may be modified or withdrawn at any time. Tempo makes no warranty of any kind regarding the accuracy or completeness of pre-construction content.
Mortgage rates and related information shown via the Homewise integration are indicative only and not offers of credit. Homewise — not Tempo and not the Agent — is the licensed mortgage brokerage of record for any rate display, application, or referral processed through the integration.
You agree to display the Homewise attribution and disclaimer block as rendered by Tempo and not to alter, hide, or misrepresent it. You agree not to represent the displayed rates as your own, as guaranteed, or as binding offers. Tempo and Homewise may receive referral compensation from lenders or borrowers as disclosed inline next to the rate display.
You retain all ownership rights in your Agent Content. By uploading or configuring Agent Content in the Service, you grant Tempo a worldwide, royalty-free, sublicensable license to host, store, cache, transform (including resizing, optimizing, and converting formats), back up, and display Agent Content as required to operate the Service and any features you enable, including custom domains, social previews, SEO indexing, and email distribution.
You represent and warrant that you own or have all necessary rights to the Agent Content and that its use through the Service does not infringe any third-party rights.
Tempo provides AI tools that generate text, images, and other content using OpenAI and other providers. AI output is provided "as is" and does not constitute legal, financial, marketing, or real estate advice. You are solely responsible for reviewing, editing, and approving any AI output before publishing or relying on it.
You retain rights in AI output to the extent permitted by the underlying provider's terms. Output may not be unique to you and similar output may be generated for other users. Some AI features rely on third-party APIs; their availability, latency, and cost may change.
Tempo's email infrastructure (currently powered by Resend) may be used to send transactional and marketing emails on your behalf, including drip campaigns, listing alerts, and lead-form notifications.
You represent and warrant that:
Tempo may suspend sending on bounce, complaint, or block-list signals to protect platform deliverability. Tempo is the sender of record for deliverability and authentication purposes (SPF, DKIM, DMARC) but is not responsible for the consent status or quality of recipient lists you provide.
Forms placed on Agent sites collect Visitor information including names, emails, phone numbers, message content, and search behaviour. With respect to Visitor information collected through your sites:
Tempo may use aggregated, de-identified information about platform usage to operate, secure, and improve the Service.
You may connect a custom domain to your Tempo site. By doing so, you authorize Tempo and its infrastructure providers (including Vercel and Cloudflare) to provision, renew, and manage SSL certificates, DNS records, and related configuration as required to serve your site over the domain. You represent and warrant that you own or are otherwise authorized to use the domain. We may suspend or remove a domain in response to a valid legal demand, an unpaid invoice, or evidence of abuse.
You agree not to:
If you signed up through a reseller, brokerage partner, or partner promo link, your account may be associated with a Reseller Organization. The Reseller Organization may, under a separate Reseller Agreement with Tempo, mediate billing, support, and certain features for accounts in its program. These Terms still govern your individual use of the Service.
Tempo and its licensors retain all rights, title, and interest in the platform, themes, templates, code, designs, trademarks, and documentation. Your license to use the Service is limited to the duration of an active Subscription and your continued eligibility as a licensed real estate professional. No rights are granted by implication.
Each party agrees to protect the other party's non-public information disclosed in connection with the Service with reasonable care. Tempo's security practices and breach-notification commitments are described in our Privacy Policy. No system is perfectly secure; we will use commercially reasonable efforts to protect your data and notify you of incidents that materially affect it.
We may suspend or terminate your access for non-payment, breach of these Terms, loss of your real estate licence, suspected fraud or abuse, or in response to a valid legal demand. We will use commercially reasonable efforts to provide notice except when prohibited by law or when immediate action is required.
You may cancel your Subscription at any time, effective at the end of the current billing term. On termination, you will have a 30-day window to export Agent Content before it is scheduled for deletion. Sections 7, 8, 9, 13, and 18–22 survive termination.
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF MLS DATA, AI OUTPUT, LEAD CONVERSION, SEO RESULT, UPTIME (BEYOND COMMERCIALLY REASONABLE EFFORTS), OR THE PERFORMANCE OF THIRD-PARTY INTEGRATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEMPO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO TEMPO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL TEMPO BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOST GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. The foregoing does not limit liability for fraud, willful misconduct, or other liability that cannot be limited under applicable law.
You will defend, indemnify, and hold Tempo harmless from any claim, demand, or proceeding (and reasonable legal fees) arising out of: (a) your Agent Content; (b) your use of MLS, Buildify, Homewise, or other Third-Party Content in violation of these Terms or applicable rules; (c) emails sent through the Service on your behalf; (d) Visitor data you collect or process through the Service; or (e) your breach of these Terms.
We may revise these Terms from time to time. Material changes require your re-acceptance through a blocking prompt at next sign-in; continued use after re-acceptance is bound by the new version. Non-material changes will be posted with notice on this page; continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts of British Columbia have exclusive jurisdiction over disputes arising out of these Terms, except that small-claims disputes under USD $10,000 brought by a US-based Agent may be venued in that Agent's home state.
